Terms of Service

These terms set out the rules for using Insion’s moderation platform, website, and APIs.
1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of Insion’s websites, applications, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.
2. Our services
Insion provides tools to help organizations configure moderation policies, submit content for evaluation, review moderation outcomes, and manage related workflows. The Services may change over time as we add, remove, or improve features. We will use reasonable efforts to provide notice of material changes where appropriate.
3. Accounts and access
You must provide accurate and current information when creating an account. You are responsible for keeping credentials confidential and for all activity that occurs through your account. Promptly notify us if you suspect unauthorized access or a security incident involving your account.
You are responsible for assigning appropriate roles and permissions to users in your organization. We may suspend or restrict access when reasonably necessary to protect the Services, users, or third parties.
4. Your content and responsibilities
You retain ownership of the content, data, and materials you submit to the Services ("Customer Content"). You grant Insion a worldwide, non-exclusive, limited right to host, process, transmit, display, and use Customer Content only as necessary to provide, secure, and support the Services and as otherwise permitted by these Terms.
You are responsible for Customer Content and for obtaining all rights, permissions, and notices necessary to submit it to the Services. You must ensure that your use of the Services and Customer Content complies with applicable laws, these Terms, and the rights of others.
5. Acceptable use
You may not, and may not allow others to:
- use the Services in violation of law or to infringe, misappropriate, or violate the rights of others;
- reverse engineer, decompile, or attempt to discover the source code or underlying systems of the Services;
- interfere with, disrupt, or bypass security measures or access controls of the Services;
- use the Services to transmit malware, harmful code, or material intended to damage systems or data;
- resell, rent, lease, or provide access to the Services except as expressly permitted by us; or
- use the Services in a manner that could harm Insion, its users, or its infrastructure.
6. Fees and payment
If you purchase a paid subscription, you agree to pay the fees shown at the time of purchase or otherwise set out in an applicable order form. Fees are due in advance unless stated otherwise, are non-refundable except where required by law, and may be subject to applicable taxes. We may suspend paid Services for overdue amounts after providing reasonable notice.
7. Intellectual property
Insion and its licensors own all rights, title, and interest in and to the Services, including software, documentation, designs, trademarks, and other intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription term.
8. Feedback
If you provide feedback, ideas, or suggestions about the Services, you grant us the right to use them without restriction or compensation. This does not require us to use any feedback or make it available to you.
9. Third-party services
The Services may interoperate with or link to third-party products and services. Your use of those products is governed by their terms and privacy policies. Insion is not responsible for third-party services or their availability, security, or content.
10. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or when necessary to protect the Services or others. Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination, including those relating to ownership, disclaimers, limitations of liability, and disputes, will survive.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MODERATION RESULTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR EVERY USE CASE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSION AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO INSION FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Insion and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and expenses arising from your Customer Content, your use of the Services, or your breach of these Terms or applicable law.
14. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Insion is established, excluding its conflict of laws rules. Any dispute arising from these Terms or the Services will be resolved in the courts with jurisdiction over that location, unless applicable law requires otherwise.
15. Changes to these terms
We may update these Terms from time to time. If a change is material, we will provide notice through the Services or by another appropriate method. Your continued use of the Services after the updated Terms take effect means that you accept them.
